Terms & Conditions
The terms that apply when you use this website or engage Dig-E-Minds for services.
Last updated: 15 October 2026
1. About these terms
These terms apply to the website, to enquiries made through it, and to any services provided by Dig-E-Minds ("we", "us"). By using the website or engaging us, you ("client", "you") agree to them. A written proposal or agreement for your project may add to these terms; where it conflicts, the signed or approved proposal applies to that project.
2. Scope and proposals
We agree the scope, deliverables, timeline and price in writing before work begins. Scope is what the approved proposal lists. Anything not listed is outside scope.
3. Scope changes
Requests that add pages, features, integrations or deliverables, or that change the agreed direction after approval, are scope changes. We will quote them separately and begin that work only after you approve the quote. Scope changes may move the timeline.
4. Advance and payments
- Project work begins after an advance payment of 50% of the agreed price.
- The balance is due before final delivery, handover or go-live, unless the proposal states a milestone schedule.
- Monthly services are billed monthly in advance and are due before the service period begins.
- Prices are in Indian rupees. Applicable taxes are charged where required and shown in the invoice.
- Delayed payment may pause work and delay delivery until dues are cleared.
5. Timelines
Timelines shown on this website are estimates. The project timeline we confirm in writing depends on timely delivery of content, access, approvals and feedback from you. Delays on the client side move the timeline accordingly.
6. Revisions
Each package includes 2 revision rounds within the approved scope. A revision round is a consolidated set of changes to work already delivered. Further rounds, or changes outside the approved scope, are quoted separately.
7. Client responsibilities
- Provide accurate content, logos, product information, access and approvals on time.
- Make sure you own or have permission to use everything you provide, including text, images, music and trademarks.
- Keep the accounts and credentials you share with us secure, and remove access when the project ends.
- Review deliverables promptly and give consolidated feedback.
8. Third-party services, subscriptions and platform fees
Many solutions depend on third-party services such as domains, hosting, payment gateways, WhatsApp and Meta platforms, marketplaces, email and messaging providers, and AI model providers. These are provided by their owners under their own terms and prices, which can change.
Fees for third-party services, subscriptions, platform commissions and renewals are paid by you directly to the provider unless the proposal says otherwise. We will identify known third-party costs in writing before work begins. We are not responsible for changes, outages or policy decisions made by third-party platforms, including account approvals, suspensions and listing decisions.
9. Marketplaces and platform names
Dig-E-Minds is an independent service provider. Mentions of Amazon, Flipkart, Meesho, IndiaMART, TradeIndia, Google, Meta, Instagram, WhatsApp and other platforms are for identification only. They do not imply partnership, endorsement or affiliation. All names and marks belong to their owners.
10. Advertising spend
Advertising budgets for Google, Meta and other platforms are paid directly by you to the platform and are separate from our fees. We do not guarantee advertising performance.
11. No guarantee of results
We do not guarantee leads, sales, revenue, followers, search rankings or advertising performance. These depend on factors outside our control, including your market, your offering, platform algorithms and your own actions.
12. Intellectual property
On full payment, ownership of the final deliverables created specifically for you transfers to you, excluding third-party components, licensed assets, open-source software and our pre-existing tools, which remain under their own licences. We may show non-confidential work in our portfolio unless you ask us in writing not to.
13. Completed work
Work delivered or launched is considered completed and accepted when you approve it, when you start using it live, or when the revision period ends without further feedback, whichever comes first.
14. Cancellation and refunds
Cancellation and refunds are governed by the Refund & Cancellation policy, which forms part of these terms.
15. Limitation of liability
To the extent permitted by law, our total liability for any claim relating to our services is limited to the amount you paid us for the specific service giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit or revenue, or loss of data caused by third-party platforms or by events beyond our reasonable control.
16. Changes to these terms
We may update these terms. The version published on this website on the date of your engagement applies to your project.
17. Governing law and jurisdiction
These Terms and Conditions shall be governed by the applicable laws of India. Any dispute, claim or proceeding arising out of or relating to the services, agreement, payment, or these Terms and Conditions shall be subject to the exclusive jurisdiction of the competent courts in Jabalpur, Madhya Pradesh, India.
